Interpretation and Definitions

Interpretation

The words of which the initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.

Definitions

For the purposes of these Terms and Conditions:

• “Affiliate” means an entity that controls, is controlled by or is under common control with a party, where "control" means ownership of 50% or more of the shares, equity interest or other securities entitled to vote for election of directors or other managing authority.
• “Account” means a unique account created for You to access our Service or parts of our Service.
• “Company” (referred to as either "the Company", "We", "Us" or "Our" in this Agreement) refers to Manhood Tribes LLC.
• “Country” refers to the United States of America (USA).
• “Content” refers to content such as text, images, videos, audio, or other information that can be posted, uploaded, linked to or otherwise made available by You, regardless of the form of that content.
• “Device” means any device that can access the Service such as a computer, a cell phone or a digital tablet.
• “Feedback” means feedback, innovations or suggestions sent by You regarding the attributes, performance or features of our Service.
• “Service” refers to the Website, the Manhood Tribes paid membership community portal, interactive discussion forums, courses, digital products, and any associated materials hosted on or delivered via Kajabi.
• “Terms and Conditions” (also referred as "Terms") mean these Terms and Conditions that form the entire agreement between You and the Company regarding the use of the Service.
• “Third-party Social Media Service” means any services or content (including data, information, products or services) provided by a third-party that may be displayed, included or made available by the Service.
• “Website” refers to Manhood Tribes, accessible from https://manhoodtribes.com.
• “You” means the individual accessing or using the Service, or the company, or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.

Acknowledgment

These are the Terms and Conditions governing the use of this Service and the agreement that operates between You and the Company. These Terms and Conditions set out the rights and obligations of all users regarding the use of the Service.

Your access to and use of the Service is conditioned on Your acceptance of and compliance with these Terms and Conditions. These Terms and Conditions apply to all visitors, users, paid members, and others who access or use the Service.

By accessing or using the Service You agree to be bound by these Terms and Conditions. If You disagree with any part of these Terms and Conditions then You may not access the Service.

You represent that you are over the age of 18. The Company does not permit those under 18 to use the Service.

Your access to and use of the Service is also conditioned on Your acceptance of and compliance with the Privacy Policy of the Company. Please read Our Privacy Policy carefully before using Our Service.

Membership Eligibility and Mission-Specific Alignment

• Mission and Focus: Manhood Tribes LLC is a faith-based organization dedicated exclusively to the unique spiritual development, fellowship, and personal growth of biological men.
• Sex-Specific Restriction: Accordingly, active participation in the paid Community, interactive forums, and live coaching calls is strictly limited to individuals who are biological men.
• Right to Deny Access: The Company reserves the right, in its sole discretion, to deny registration, cancel a membership, or restrict access to any individual who does not meet this eligibility requirement.
• Exception to Refund Policy: If a membership is canceled by the Company solely due to an eligibility mismatch at the time of signup, any initial setup or prepaid fees for that current billing cycle will be promptly refunded in full, and the account will be closed.

User Accounts

When You create an account with Us, You must provide Us information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of Your account on Our Service.

You are responsible for safeguarding the password that You use to access the Service and for any activities or actions under Your password, whether Your password is with Our Service or a Third-Party Social Media Service.

You agree not to disclose Your password to any third party. You must notify Us immediately upon becoming aware of any breach of security or unauthorized use of Your account.

Subscriptions, Billing, and Cancellations

1. Automatic Recurring Monthly Billings

By purchasing a paid membership to the Manhood Tribes Community, you explicitly agree to an automatic, recurring monthly subscription model. Your selected payment method will be charged automatically at the standard monthly rate at the start of each new billing cycle unless and until you formally cancel your subscription.

2. Promotional Codes, Discounts, and Free Periods

If you utilize a promotional code or discount code that grants a free period of membership (e.g., a "first month free" code), you are still required to provide valid payment credentials upon registration.

• Automatic Rollover: At the expiration of the promotional period, your membership will automatically convert into a paid monthly subscription.
• First Billing Date: Your payment method on file will be automatically charged the standard monthly rate on the first day of your second billing cycle, and recurring monthly thereafter, unless you cancel prior to the end of the promotional period. The Company is not obligated to provide advance notification that a promotional period is ending.

3. "Founder Rate" Pricing Continuity

The Company may offer introductory or "Founder" promotional pricing. If you register under a guaranteed "Founder Rate," the Company promises your specific monthly subscription fee will remain locked at that rate for as long as you maintain an active, uninterrupted, and consecutive paid membership.

• If your membership is canceled—whether by you or by the Company due to a breach of conduct or failed payments—you permanently forfeit your locked-in Founder Rate.
• Should you choose to rejoin the Service at a later date, you must register at the standard, current market rate applicable at the time of re-registration.

4. Cancellation Policy

You may cancel your subscription at any time. Cancellations must be completed directly through your Kajabi student dashboard or by submitting a written request to [email protected] at least 5 calendar days prior to your next scheduled billing date. If you cancel after this window, you will be billed for the following month. Upon cancellation, you will maintain access to the Community and materials through the end of your current paid billing cycle, after which your access will terminate.

5. Strict No-Refund Policy

Due to the immediate access granted to our private Community, digital assets, proprietary materials, and forums, all fees paid to Manhood Tribes LLC are strictly non-refundable. This applies to initial payments, automatic recurring monthly renewals, and balances rolled over from promotional codes (subject only to the Eligibility exception outlined above).

6. Failed Payments & The 14-Day Dunning Window

If a recurring monthly charge fails due to an expired card, insufficient funds, or payment method rejection, the Company (via Kajabi) will automatically attempt to retry the charge. You will be granted a grace period of 14 calendar days to update your billing credentials and bring your account current. If the account is not settled within 14 calendar days:

• Your access to the Community, courses, and resources will be automatically suspended.
• Your locked-in "Founder Rate" (if applicable) will be permanently forfeited.

7. Third-Party Mobile App Platforms

Subscriptions and payments are managed and processed strictly via our web interface. The Company is not responsible for any platform-specific limitations, payment delays, or terms imposed by third-party mobile application distribution platforms (such as the Apple App Store or Google Play Store) if you utilize the native Kajabi mobile app.

Community Code of Conduct and User Engagement

By accessing and participating in the Manhood Tribes paid membership community, forums, or interactive spaces (collectively, the "Community"), you agree to adhere to this Code of Conduct. The Company reserves the right, in its sole and absolute discretion, to remove any content, or suspend or permanently terminate the account of any user who violates these standards, without notice and without liability or refund.

1. Respectful Engagement and Constructive Dialogue

The Community is designed to be a secure space for personal development, faith-building, and mutual support.

• Prohibition of Hostility: You agree to maintain a respectful, honorable, and civil demeanor. You are strictly prohibited from engaging in harassment, bullying, stalking, name-calling, personal attacks, or distributing defamatory, mean-spirited, vulgar, or obscene material.
• Ideological and Political Disagreements: While healthy intellectual debate and the respectful challenging of ideas are permitted, antagonistic political commentary, targeted discrimination, or divisive rhetoric that disrupts the core purpose of the Community will not be tolerated. Disagreements must be handled constructively and with appropriate decorum.

2. Absolute Confidentiality and Privacy Protection

To maintain the integrity of this private, member-only platform, confidentiality is paramount.

• Non-Disclosure of Peer Data: You are strictly prohibited from sharing, copying, exporting, screenshotting, or distributing any non-public personal information, testimonies, stories, media, or identifying details of other members outside of the private Community platform.
• Malicious Privacy Violations: Using the platform to dox, extort, blackmail, harass, or spread false and disparaging rumors about any individual, whether inside or outside the Community, is grounds for immediate, permanent expulsion.

3. Commercial Activities, Solicitation, and Spam

The Community is a dedicated space for personal and spiritual growth, not a commercial marketplace.

• Zero-Tolerance Commercial Use: You agree not to use the Service or Community spaces to promote, market, advertise, sell, or solicit any third-party products, services, platforms, external groups, multi-level marketing (MLM) schemes, or financial opportunities.
• Spam and Algorithmic Content: The distribution of unsolicited messages, mass messaging, copy-pasted promotions, chain letters, or machine-generated text is strictly prohibited. The Company reserves the complete discretion to remove any comments or materials identified by our teams or automated moderation systems as spam.

4. Topical Relevance

To preserve the value of the platform, discussions should align with the core mission of Manhood Tribes (growing as a man of faith). While general conversation is permitted, the Company reserves the right to remove discussions, threads, or posts that have no apparent relation to the Community's stated goals, or that are deemed deliberately disruptive to the focus of the group.

5. Enforcement and Forfeiture

If your account access is suspended or permanently revoked due to a violation of this Code of Conduct, any prepaid membership fees are entirely non-refundable and forfeited, and you will immediately lose access to all Community spaces, courses, and resources hosted on the Kajabi platform.

Professional Disclaimer

NOT PROFESSIONAL COUNSELING OR THERAPY ADVOCACY: The Manhood Tribes Community is strictly for spiritual fellowship, educational purposes, mentorship, and peer encouragement. The Company does not provide medical, psychological, psychiatric, clinical, or licensed mental health counseling, marriage therapy, financial planning, or legal advice.

Participation in the Community, discussion forums, or coaching calls does not establish a clinician-patient or professional-client relationship. You acknowledge and agree that you are solely and entirely responsible for your own life choices, mental health welfare, and personal actions. If you are experiencing severe psychological crisis, trauma, or mental health disorders, you are strongly urged to seek the services of a qualified, licensed medical or mental health professional.

Content

Your Right to Post Content

Our Service allows You to post Content. You are responsible for the Content that You post to the Service, including its legality, reliability, and appropriateness.

By posting Content to the Service, You grant Us the right and license to use, modify, publicly perform, publicly display, reproduce, and distribute such Content on and through the Service. You retain any and all of Your rights to any Content You submit, post or display on or through the Service and You are responsible for protecting those rights. You agree that this license includes the right for Us to make Your Content available to other users of the Service, who may also use Your Content subject to these Terms.

Content Backups

Although regular backups of Content are performed, the Company does not guarantee there will be no loss or corruption of data. You acknowledge that the Company has no liability related to the integrity of Content or the failure to successfully restore Content to a usable state.

Copyright Policy

DMCA Notice and DMCA Procedure for Copyright Infringement Claims

You may submit a notification pursuant to the Digital Millennium Copyright Act (DMCA) by providing our Copyright Agent with the following information in writing (see 17 U.S.C 512(c)(3) for further detail):

• An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright's interest.
• A description of the copyrighted work that You claim has been infringed.
• Identification of the URL or other specific location on the Service where the material that You claim is infringing is located.
• Your address, telephone number, and email address.

Intellectual Property

The Service and its original content (excluding Content provided by You or other users), features and functionality are and will remain the exclusive property of the Company and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of the Company.

Limitation of Liability

Notwithstanding any damages that You might incur, the entire liability of the Company and any of its suppliers under any provision of this Terms and Your exclusive remedy for all of the foregoing shall be limited to the amount actually paid by You through the Service or 100 USD if You haven't purchased anything through the Service.

To the maximum extent permitted by applicable law, in no event shall the Company or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, loss of data or other information, for business interruption, for personal injury, or loss of privacy).

Governing Law & Disputes Resolution

The laws of the United States of America and the state in which Manhood Tribes LLC is legally registered shall govern these Terms. If You have any concern or dispute about the Service, You agree to first try to resolve the dispute informally by contacting the Company.
